Job Description
Job Purpose
- Ensure that the Company complies with its outside regulatory requirements and internal policies.
- Responsible for the corporate governance procedures and ensuring each department has properly documented control procedures in place and that these are updated appropriately.
- Provide legal and governance support to the General Manager who is responsible for regulatory and legal compliance within the Company
- Ensure compliance with applicable South African and Mozambique legislation.
- Identify legislation that impacts on the Company and ensuring compliance with it.
- Supervise Legal Compliance Specialist and Regulatory Compliance Specialist.
Key responsabilities
- Evaluate applicable laws and regulations to determine impact on the company’s activity;
- Create legal compliance risk management plans and monitor compliance thereof;
- Ensure that all contractual obligations are met and a high standard of Corporate Governance;
- Coordinate efforts associated with the preparation of legal documents or submission;
- Advising on general business law issues and managing legal issues including corporate matters, procurement, health and safety and governance;
- Identify and address potential legal issues and risks for current activities, operations and strategic initiatives and manages litigation;
- Conduct the required legal investigations and take the necessary procedures, recommendations, or decisions according to the labour law and the company’s policy;
- Provide legal assistance to the Human Resources team for employment matters and contract to draft for employment and other related matters;
- Review and provide opinion on the structuring of the new business transactions amp; related documentation;
- Interact with external lawyers and consultants to seek their opinion on complex issues on critical legal matters;
- Provide legal advice and guidance to Exco, management, different business units on Commercial Business Laws, labour laws;
- Drafting and negotiating simple and complex contracts;
- Collaborate with other departments to create a culture of compliance;
- Assisting the General Manager RLA in the provision of legal advice in-house as required;
- Acting as Complaints Handling Officer for all complaints made against the Company and/or its staff
- Monitor the regulatory environment within South Africa and Mozambique;
- Analyse South African standards, regulations and legislation to understand what is needed to meet operational requirements;
- Assist in developing policies/procedures to ensure operations meet new and existing legislative/ regulatory requirements;
- Prepare and submits applications and reports to applicable regulatory authorities.
Requirements
- South African Nationality (mandatory);
- Degree in Law;
- Admitted as an Advocate to the bar/Attorney will be an added advantage;
- Related Master’s Degree (highly preferred);
- Certificate/diploma in compliance management (highly preferred);
- 7 years in legal amp; regulatory compliance management;
- Proficient knowledge and understanding of the legislation that governs, gas industry rules and process (mandatory);
- Full comprehension of the influences of the external environment of a corporation;
- Demonstrated ability to create legal defensive or proactive strategies;
- Proven experience in managing multiple internal and external stakeholders;
- Experience in developing and editing legal documentation/communications;
- Some experience working with both South African and Mozambican law.
